    MINNEAPOLIS--(BUSINESS WIRE)--May 10, 2005--Nash Finch Company (Nasdaq:NAFC), a leading national food distributor, today announced voting results from its annual meeting of shareholders held on May 10, 2005. Four incumbent directors were re-elected and two new directors were elected to the Board.
    Dr. Carole Bitter, John Grunewald, William Voss and William Weintraub, incumbent directors, and new director Douglas Hacker, were elected to three-year terms expiring in 2008. New director Mickey Foret was elected to a two-year term expiring in 2007.
    Mickey Foret is President of Aviation Consultants, LLP, and previously served as Executive Vice President and Chief Financial Officer of Northwest Airlines. Doug Hacker is Executive Vice President, Strategy, for UAL Corporation, and previously served as UAL's Executive Vice President and Chief Financial Officer. "Both Mr. Foret and Mr. Hacker bring a breadth and depth of experience, particularly financial expertise, which should serve us well as this Company continues to grow," observed Ron Marshall, Nash Finch CEO. "We are delighted that the shareholders have voted to add them to our Board."
    Shareholders also approved amendments to the Company's 2000 Stock Incentive Plan that will add 1,000,000 shares to that plan and enable the Company to implement a performance-based long-term incentive program. The amendments specify that the shares to be added to the plan may only be used to make performance unit awards, and must be issued from shares that the Company purchases in the open market or otherwise holds in treasury.
