LeapFrog Enterprises Appoints Caden Wang and Ralph Smith to Its Board

EMERYVILLE, Calif., March 31 /PRNewswire-FirstCall/ -- LeapFrog Enterprises, Inc. , a leading developer of innovative technology- based educational products, today announced the appointment of Caden Wang and Ralph R. Smith to its Board of Directors. Messrs. Wang and Smith replace Stewart Resnick and Barry Munitz, who have resigned from the Board effective as of March 31.

LeapFrog's Board unanimously approved the appointment of Messrs. Wang and Smith on March 28, 2005. They will begin serving on the LeapFrog Board effective April 1.

Mr. Wang has been affiliated with Jackson Hole Consulting Group since June 2003. Since October 2003, Mr. Wang has served on the Board of Directors of bebe stores, inc. and is the chairman of their audit committee. From 1999 to 2001, Mr. Wang served as Executive Vice President and Chief Financial Officer of LVMH Selective Retailing Group. He has also served as the Chief Financial Officer of DFS, Gump's and Cost Plus. Mr. Wang is a Certified Public Accountant.

Mr. Smith currently serves as Senior Vice President of The Annie E. Casey Foundation, a private philanthropy dedicated to helping build better futures for disadvantaged children in the United States. Since 2004, Mr. Smith has served on the Board of Directors of Nobel Learning Communities, Inc. He is also a member of the Board of Directors of Venture Philanthropy Partners, a non-profit philanthropic investment organization serving the National Capital Region, and a member of the Board of Directors of the Center for Responsible Lending, a non-profit research and policy organization protecting home ownership and family wealth. From 1975 to 1997, Mr. Smith was a member of the faculty of the Law School of the University of Pennsylvania, teaching corporate law, securities regulations, and education law and policy. Mr. Smith also has held a number of senior leadership positions for the School District of Philadelphia, including chief of staff and special counsel.

When Messrs. Wang and Smith join Stan McKee on the audit committee of LeapFrog's Board of Directors, the audit committee will meet the New York Stock Exchange's corporate governance standards.
