Final results after reopening of the Offer: Success of the Public Exchange Offer initiated by Sopra for Steria

Sopra (Euronext: SOP) (Paris:SOP) and Steria (Euronext: RIA) have announced that today the Autorité des Marchés Financiers (AMF) published the final results after reopening of the Public Exchange Offer (Offre Publique d’Echange, OPE) initiated by Sopra for Steria’s shares.

On completion of this operation, 90.52% of Steria’s shares (89.41% of the voting rights) were tendered to Sopra’s offer with the aim of creating a new European leader in digital services. As a reminder, 79.69% of Steria’s shares were tendered to the initial OPE before it was reopened on 18 August 2014.

In consideration for the Steria shares tendered to the Reopened Offer, Sopra’s share capital has been increased to €19,440,371 with 898,235 new ordinary shares being created on 12 September 2014.

The settlement-delivery of the Reopened Offer will take place on 18 September 2014.
