DGAP-Adhoc: curasan AG determines volume of capital increase, personal change in supervisory board

Kleinostheim, 22 July 2019 - The Management Board of curasan AG (DE000A2YPGM4) today resolved, with the approval of the Supervisory Board, to determine the volume of the capital increase resolved by the Annual General Meeting of curasan AG on June 26 2019 at EUR 2,938,427.00. The capital increase will thus be implemented in full.

Thereby, the share capital will be increased by EUR 2,938,427.00 from EUR 6,127,446.00 to EUR 9,065,873.00 through the issue of 2,938,427 new bearer shares with a notional value of EUR 1.00 per share in the Company's share capital against cash contributions (the "New Shares").

The capital increase generates net proceeds of about EUR 3.0 million for curasan AG.

Until further notice, the New Shares will not be admitted to trading and will therefore be accounted under the separate ISIN DE000A2YPGQ5.

To fulfil all conditions of the financial commitment granted by Donau Invest Beteiligungsges. m.b.H, Dr. Tomas Kahn informed today, subsequent to the resolution of the supervisory board on the full implementation of the capital increase, that he will resign from his office as member of the supervisory board of the Company at the end of 31 August 2019. In agreement with their major shareholders, the company will propose to the court in charge, in a timely manner, a suitable successor for court appointment as member of the supervisory board of curasan AG until the next General Meeting of the company.
