Comcast Welcomes Fox Announcement It Intends To Lapse Its Sky Offer

(RTTNews) - Comcast Bidco Limited, an indirect wholly-owned subsidiary of Comcast Corp. (CMCSK, CMCSA), said it welcomed the announcement by 21st Century Fox (FOX, FOXA) that it intends to lapse its offer for Sky (BSY.L, SKY.L) and its intention to either accept Comcast Bidco's mandatory offer for Sky at a price of 17.28 pounds per Sky Share or sell to Comcast Bidco the 672.78 million Sky shares held by 21CF or its affiliates, representing about 39.12 per cent of the ordinary share capital of Sky.

On 26 September 2018, Comcast Bidco announced that, following further acquisitions in the market, it had acquired an aggregate interest in 635.40 million Sky shares at 17.28 pounds per Sky Share, representing approximately 36.95 per cent. of the Sky Shares in issue at that time.

As of 5.30 p.m. on 26 September 2018, Comcast Bidco had acquired an aggregate interest in 648.60 million Sky shares at 17.28 pounds per Sky share, representing approximately 37.72 per cent. of the Sky shares in issue at that time. Comcast Bidco does not currently intend to make any further market purchases of Sky shares.

In view of the announcement by 21st Century Fox that it intends to lapse the 21CF Offer, Sky shareholders who have not already accepted Comcast Bidco's offer are urged to complete and return their acceptances of the Mandatory Offer as soon as possible and, in any event, so as to be received by no later than 1.00 p.m. (London time) on 11 October 2018.
