Caremark Comments on ISS Opinion on Proposed Merger with CVS
Caremark Rx, Inc. (NYSE: CMX) said today that it disagrees with
Institutional Shareholder Services Inc.’s
(ISS) opinion regarding the proposed merger of equals between Caremark
and CVS Corporation (NYSE: CVS).
"We disagree with ISS’s
opinion and urge shareholders to support the proposed CVS/Caremark
merger,” said Mac Crawford, Chairman, Chief
Executive Officer and President of Caremark. "After
thorough analysis, we believe this transaction, which is scheduled to
close this month, will create substantial immediate and long-term value
for Caremark shareholders relative to other strategic options, including
the highly conditional, hostile Express Scripts offer.”
Caremark will hold a special meeting of its shareholders to vote on the
proposed merger with CVS on February 20, 2007.
