Amsurg To Buy Sheridan Healthcare For $2.35 Bln - Quick Facts

(RTTNews) - AmSurg Corp. (AMSG) has agreed to buy Sheridan Healthcare, a portfolio company of Hellman & Friedman LLC, in a cash-stock deal worth nearly $2.35 billion. The acquisition would be immediately accretive to AmSurg's adjusted earnings per share, EBITDA and cash flow. Also, the transaction significantly improves AMSURG's revenue, EBITDA and adjusted EPS growth.

The transaction, which may close in the third quarter of 2014, would be funded via. fully committed financing from Citi and the anticipated issuance to Sheridan's equity holders of AmSurg equity currently valued at about $615 million.

Both AmSurg and Sheridan anticipate that the combination to form a unique business model that would better meet critical needs for physicians, health systems, communities and payers. The combined company would have a total addressable market of some $70 billion and would cover over 4,600 physician relationships across 38 states.
