New York, March 06, 2015 -- Moody's Investors Service (Moody's) was informed that Dividend Capital Diversified Property Fund Inc., ("Borrower") has elected to defease three mortgage loans encumbering the Wellpoint, Unisys and Amazon properties with U.S. Government Securities. The borrower is also selling the 11 remaining separate SPE entities, individually and collectively, to Gramercy Property Trust Inc., a Maryland corporation and real estate investment trust ("REIT") ("Proposed Borrower"). The REIT will own its interest in the proposed borrower through its 100% ownership in GPT Property Trust LP. Gramercy Property Trust is assuming the remaining balance of the loan and assuming the role of non-recourse carve-out guarantor and environmental indemnitor. As part of this proposed loan assumption, loan modifications specific to the proposed borrower's REIT structure are also contemplated. These collective actions will become effective upon satisfaction of the conditions precedent set forth in the governing documents.
