The Board of Directors of PagesJaunes Groupe is Modified in Order to Take into Account the Undertakings Arising from the Financial Restructuring Operations of Mediannuaire Holding SA ("MDH”)

Regulatory News:

PagesJaunes Groupe (Paris:PAJ), a company listed on Euronext Paris, NYSE Euronext (PAJ), announces that certain members of the Board of directors have resigned and that new members have been co-opted.

These resignations and co-optations occurred pursuant to the agreement announced by MDH on 12 December 2012, by which MDH implements a debt restructuring with the support of its shareholders, investment funds managed by Kohlberg Kravis & Roberts and certain Goldman Sachs Capital Partners funds, and of its two main creditors, the Cerberus group and certain Goldman Sachs Mezzanine Partners funds.

Pursuant to the terms of this agreement which modifies the shareholding of PagesJaunes Groupe, MDH, its main shareholders after the restructuring and the members of the Working group formed by its lenders, have agreed that the Board of directors would be consequently modified.

The following decisions were taken by the Board of directors:

  • Nicolas Cattelain, representative of Kohlberg Kravis & Roberts, resigned and is replaced by Steven Mayer, whose appointment will end in 2014;
  • William Cornog, representative of Kohlberg Kravis & Roberts, resigned and is replaced by Lee Millstein, whose appointment will end in 2014;
  • Mediannuaire, who was absorbed by MDH and is dissolved, is replaced by MDH, which shall be represented by John Ryan, whose appointment will end in 2016;
  • Andrew Wolff, representative of Goldman Sachs Capital Partners, resigned and is replaced by Cécile Moulard, whose appointment will end in 2016; and
  • Jean-Christophe Germani, representative of Goldman Sachs Capital Partners, resigned and is replaced by Marc Simoncini whose appointment will end in 2016.

Lee Millstein and MDH, represented by John Ryan, shall each replace Nicolas Cattelain and are respectively appointed to the remunerations committee and the audit committee.
