Fox Factory Holding Prices IPO At $15/share, At Top End Of Estimated Range

(RTTNews) - Fox Factory Holding Corp. ("FOX") announced the pricing of initial public offering of 8.57 million common shares at $15.00 per share, which represents top end of the expected range.

In the amended filing with the SEC, the company had expected to price the initial public offering of 8.57 million common shares of between $13.00 and $15.00 per share.

Of the shares of common stock in the offering, FOX is offering 2.86 million shares and certain stockholders of FOX, including Compass Group Diversified Holdings LLC (CODI), are offering 5.71 million shares.

The Scotts Valley, California-based company also stated that the selling stockholders have granted the underwriters a 30-day option to purchase up to an additional 1.26 million shares at the initial public offering price less underwriting discounts and commissions.

FOX specified that it will not receive any proceeds from the sale of shares by the selling stockholders.

The company, which makes high-performance suspension products for bikes and off-road vehicles, said that its shares are expected to begin trading on the Nasdaq Global Select Market on August 8, 2013 under the ticker symbol "FOXF".

Robert W. Baird & Co. Incorporated, William Blair & Company, L.L.C. and Piper Jaffray & Co. are acting as joint book-running managers for the offering.

Fox Factory Holding, which was founded in 1975, booked $245 million in sales over the last 12 months.
