Moscow, Russian Federation (22 August 2016) - Public Joint Stock Company 'MegaFon' (LSE: MFON), a leading Russian telecommunications operator, ('MegaFon' or the 'Company') announces that MegaFon's Extraordinary General Shareholders' Meeting (EGM) held on 19 August 2016 in the form of a face- to-face meeting took the following resolutions: 1. To early terminate the powers of the Board of Directors of the Company elected at the Annual General Shareholders' Meeting of the Company on June 30, 2016

2. To elect the Board of Directors of the Company in the following composition:

1. Lord Paul Myners;

2. Jan Erik Rudberg;

3. Ivan Vladimirovich Tavrin.

4. Vladimir Yakovlevich Streshinsky;

4. Nikolay Borisovich Krylov;
