DGAP-News: SinnerSchrader AG

Today, SinnerSchrader AG and Accenture Digital Holdings GmbH signed the Domination and Profit Transfer Agreement. Yesterday, 6 December 2017, the Extraordinary General Meeting of SinnerSchrader AG approved the conclusion of the Domination and Profit Transfer Agreement as drafted on 20 October 2017 between SinnerSchrader AG as the controlled company and Accenture Digital Holdings GmbH as the controlling company with 97.66 per cent of the votes represented at the General Meeting.

The signing of the agreement is an important step towards deepening the collaboration between the SinnerSchrader Group and Accenture, which began with the signing of a Business Combination Agreement on 20 February 2017.

The Domination and Profit Transfer Agreement provides for a cash compensation according to Article 305 of the German Stock Corporation Act (AktG) in the amount of 10.21 euros per SinnerSchrader share or, alternatively, for outside shareholders not choosing the cash compensation a compensation payment according to Article 304 AktG in the amount of 0.27 euros gross per SinnerSchrader share (corresponding to a net amount of 0.23 euros per SinnerSchrader share based on the conditions prevailing at the time of the conclusion of the agreement) per full financial year.
