One Square Advisory Services GmbH: Steilmann SE - Publication of a purchase

offer for the bonds of Steilmann SE (A1PGWZ, A12UAE and A14J4G)

Munich, July 04, 2016

Schnigge Wertpapierhandelsbank AG has published a voluntary purchase offer

to all bondholders of Steilmann SE on behalf of an investor who already

holds significant stakes in each bond.

The investor's intention is to consolidate the interests of all bondholders

in order to exercise influence on the liquidation process and to achieve a

better coordination of the liquidation. The investor considers this

necessary because the insolvency proceedings of Steilmann SE are afflicted

with many legal uncertainties and diverging interests of all involved

parties. Furthermore, conflicting interests between the three bonds are

weakening the negotiating position of the bondholders towards the other

involved parties severely. Additionally, the enforcement of the interests

of the bondholders will be costly and is exposed to a high risk of

litigation. Consolidating the interests of the bonds with the investor

would allow an enforcement of all claims with all means available.
