Braas Monier Building Group S.A.: Possible Offer

Luxembourg, 14 September 2016. 40 North Management LLC ("40 North") which owns 29.1% of Braas Monier's outstanding share capital, yesterday informed Braas Monier that its affiliate Standard Industries intends to make a takeover offer for Braas Monier at EUR 25 per share in cash.

Braas Monier understands that on 13 September 2016 Standard Industries entered into an irrevocable undertaking with Monier Holdings S.C.A. in respect of around 10% of Braas Monier's share capital and intends to enter into an irrevocable agreement with 40 North in respect of its 29.1% shareholding in Braas Monier.

Braas Monier understands that Standard Industries intends to announce an offer on Monday 19 September 2016 at EUR 25 per share in cash.

The Board of Directors of Braas Monier does not support this proposal as EUR 25 per share significantly undervalues the company and its future prospects. Nor does this offer price reflect the value of the synergies which would accrue to Standard Industries by Braas Monier being part of the same group as Icopal, a major competitor in the European roofing market. The Board of Directors of Braas Monier will not recommend an offer of EUR 25 per share if it is made.

In the meantime, shareholders are advised to take no action and await further developments.
