Dassault Systemes Extends Tender Offer For Accelrys Until April 28 - Quick Facts

(RTTNews) - French software company Dassault Systemes SA (DASTY.PK) on Wednesday again extended its public tender offer for all shares of U.S.-based Accelrys Inc. (ACCL) to April 28.

Dassault Systemes, a provider of 3D design software, in late January offered to pay $12.50 for each Accelrys share in cash. Except for the extension of the tender offer, all other terms and conditions of the tender offer remain unchanged. Accelrys is a provider of scientific innovation lifecycle management software for chemistry, biology and materials.

Dassault Systèmes said the extension is due to the condition relating to receipt of written confirmation that the Committee on Foreign Investment in the United States or CFIUS has completed its investigation of the acquisition and determined that there are no unresolved national security concerns was not satisfied by the previously scheduled expiration date of the tender offer.

CFIUS is required to complete its investigation by May 8, but CFIUS may complete its investigation sooner.

Dassault Systèmes said it continues to believe the acquisition of Accelrys does not raise national security concerns.

The company noted that at the end of the day on April 22, approximately 41,978,808 shares of Accelrys common stock had been validly tendered and not validly withdrawn pursuant to the tender offer. This represents approximately 75.2 percent of the outstanding shares of Accelrys stock.
